Nova Dent Software Terms and Conditions
These Terms and Conditions (“Terms”) govern access to and use of the Nova Dent application/software and related services (“Nova Dent”), operated by Nova Group Co., Ltd. (“the Company,” “we,” or “us”).
By accessing, registering for, or subscribing to Nova Dent, you (“User,” “Clinic,” or “you”) confirm that you have read, understood, and agreed to be legally bound by these Terms. These Terms apply to all dental clinics using Nova Dent in Myanmar from the date access is granted.
Nova Dent includes all software features, applications, technologies, and services provided through the Nova Dent platform.
1. Definitions
- “Terms” means these Terms and Conditions for the use of Nova Dent Software.
- “Data” means all information submitted, stored, or transmitted through Nova Dent by the User or an authorized representative.
- “Confidential Information” means non-public information exchanged between the parties.
- “Intellectual Property Rights” means all copyrights, trademarks, patents, designs, software, systems, logos, and related proprietary rights, whether registered or unregistered.
- “User” or “Clinic” means any authorized individual or dental clinic using Nova Dent.
- “Company” means Nova Group Co., Ltd.
- “Nova Dent” means the Nova Dent application/software provided by the Company.
2. Account Registration & Responsibility
- Users must register a valid account with accurate and up-to-date information.
- Users are responsible for maintaining the confidentiality of login credentials and all activities under their account.
- Only one owner account per clinic is permitted.
- Unauthorized access or security breaches must be reported immediately.
- Providing false or misleading information may result in suspension or termination.
3. Subscription Plans & Trial
- Subscriotion Period: 6 months or 1 year.
- 1-month trial version is available before paid subscription.
- Only doctor package may continue on a monthly plan.
- All plans include unlimited storage with no additional fees.
4. Payment for services
- All subscription fees must be paid directlyto an authorized Nova Dent representative.
- Payments are charged in USD.
- Clinics may make payment in MMK, which will be converted to USD based on the official exchange rate in Myanmar on the payment date or contract date, as determined by Nova Dent.
- Nova Dent is responsible only for its own software services and is not liable for third-party services or payments.
5. Patient History Record Management
- Self-Entry of Records
- Clinics may manually add patient history records to the Nova Dent system at no extra cost.
- Nova Dent Upload Service
- Clinics that prefer not to self-add previous records may opt for Nova Dent’s upload service.
- Service fees are calculated based on the number of patient records.
- Nova Dent will provide an Excel template for data entry.
- Clinics must complete the template with the required patient history information.
- Payment & Processing
- The service fee will be communicated before uploading.
- Once the clinic submits the completed Excel sheet, Nova Dent will upload the patient history records to the system.
6. Software Usage & Access Rights
- License: Nova Dent grants the clinic a non-transferable, non-exclusive license to use the software.
- User Accounts:
- Clinic owner may create accounts for Doctor, Admin, Assistant, and Staff active on the contract date.
- Clinics owner must deactivate accounts of staff or dentists who leave.
7. User Conduct & Misuse
- Users must not publish or distribute any false, misleading, defamatory, abusive, or harmful statements about Nova Dent, its services, or its representatives on any platform, including social media or public forums.
- Nova Dent reserves the right to suspend or terminate user access, without prior notice, if such conduct may harm the Company’s reputation, operations, or other users.
8. Intellectual Property & Data Protection
- All intellectual property rights related to Nova Dent, including software, system architecture, designs, logos, text, graphics, and other platform content, are owned by Nova Group Co., Ltd., unless otherwise stated.
- Users may not copy, modify, distribute, or misuse any part of Nova Dent without written consent.
- Nova Dent implements reasonable technical and security measures to protect user data. However, due to technical limitations, third-party attacks, or force majeure events, complete protection against data loss or damage cannot be guaranteed.
9. Data Ownership, Security & Privacy
- Data Ownership: All patient and clinic data entered into Nova Dent remains the property of the clinic.
- Data Protection: Nova Dent follows industry standards for data encryption and security.
- Backup Policy: Regular backups are performed, but the clinic is responsible for maintaining additional backups if necessary.
10. Data Retention, Deletion & Export
- Upon subscription termination or contract cancellation, Nova Dent will retain the clinic’s data for a minimum period of three (3) years, unless otherwise required by law.
- During the data retention period, clinics may request:
- Permanent deletion of all their data; or
- A copy of their data, which will be provided in CSV format and sent via the clinic’s registered email.
- Once data deletion is completed, the information cannot be recovered.
- Nova Dent is not responsible for data after it has been successfully exported or permanently deleted at the clinic’s request.
11. Research & Data Usage
- Clinics may request their data for research purposes by submitting a formal request.
- Any research conducted using Nova Dent software data must acknowledge Nova Dent.
- Clinic agrees to share final research findings with Nova Dent for system improvements.
- Clinics may not share, sell, or distribute Nova Dent-related research data to third parties without prior approval.
12. Support & Maintenance
- Nova Dent provides both online and direct professional technical support.
- Clinics can receive real-time assistance via email, phone, or chat during business hours.
- On-site technical support is available when required for setup, issue resolution, and hands-on training.
- Regular software updates will be released monthly to improve features, performance, and security.
- In case of maintenance or technical issues, Nova Dent will notify clinics in advance.
13. Renewal, Upgrade & Access Restrictions
- All subscription fees must be paid in advance after trail period.
- Clinics may upgrade their package by paying the price difference for the remaining subscription period.
- Renewal reminders will be sent 1 month before the contract expires.
- Late Renewal: If renewal is delayed beyond 14 days, clinic will have read-only access.
- Non-Renewal: If a clinic does not renew after 30 days, all accounts may be deactivated and will only be reactivated after a new contract payment.
14. Refund & Cancellation Policy
- No refunds will be provided except in cases of service disruption.
- If unforeseen problems occur, such as:
- Internet access issues affecting software usage.
- Frequent power outages making it impossible to operate the system.
- Slow or unstable internet speed preventing smooth software functionality.
- Clinic may request a contract cancellation and a refund for the unused month(s).
- Refund requests must be submitted via email to support@nova-grp.co with proof of the issue, and Nova Dent will review and process refunds accordingly.
15. Contract Termination
- Clinic Termination: Requires 30 days’ written notice via email to support@nova-grp.co.
- Nova Dent Termination: Nova Dent reserves the right to terminate a contract if the clinic violates the terms of use, such as unauthorized data sharing or non-payment.
16. Liability & Disclaimer
- Nova Dent is not liable for any data loss, service disruptions, or indirect damages caused by improper use or external factors.
- Clinics are responsible for ensuring that patient records are correctly managed within the system.
17. Governing Law and Jurisdiction
This Agreement is governed by the laws of Myanmar, and any disputes will be settled following Myanmar’s legal jurisdiction.
18. Changes to Terms
Nova Dent reserves the right to amend or update these Terms at any time. Users are responsible for reviewing the Terms periodically. Continued use of Nova Dent after any changes take effect constitutes acceptance of the updated Terms.
19. Severability
If any provision of these Terms is held to be invalid or unenforceable by a competent court, such provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
